TERMS OF SERVICE

Company: LawCommand LLC (“LawCommand,” “we,” “our,” or “us”)
1. Agreement to Terms
By accessing or using the LawCommand platform (the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you are entering into this agreement on behalf of an entity, you represent that you have authority to bind that entity.
2. Nature of the Service
LawCommand provides a cloud-based software platform designed to assist law firms with operational, billing, collections, and workflow processes.
LawCommand is not:

A law firm
-
A debt collection agency
-
A financial institution
LawCommand does not provide any legal advice, compliance advice, or fiduciary services.
3. Customer Responsibilities
You are solely responsible for:

All data uploaded, stored, or processed (“Customer Data”)

Compliance with:

Attorney-client privilege obligations by your local bar association
-
Data privacy laws
-
Ethical and professional rules
-

Ensuring proper authorization to upload and process any data
You represent and warrant that:

You have all necessary rights and consents to use the Service
-
Your use will not violate any law or third-party rights
4. Data Ownership & License

You retain all ownership rights in Customer Data

You grant LawCommand a worldwide, non-exclusive, royalty-free license to:

Host
-
Process
-
Transmit
-
Display
-
…solely to provide and improve the Service that is rendered by LawCommand LLC.
We may use aggregated, anonymized data for analytics, benchmarking, and product improvement from time to time.
5. Security & Infrastructure Disclaimer
LawCommand utilizes third-party infrastructure providers, including, but not only exclusive, of Google Cloud Platform, SquareSpace for our domain use.
While we implement commercially reasonable safeguards:
YOU ACKNOWLEDGE THAT:

No system is completely secure, but that Google Cloud is a reputable data hosting service similar to AWS or Microsoft Azzure
-
We do not guarantee prevention of breaches, loss, or unauthorized access as we do not have full control over Google Cloud
-
We have implemented all security measures to the best of our abilities
-
You assume all responsibilities associated with electronic storage and transmission
6. Data Loss & Breach Limitation
To the maximum extent permitted by law:

LawCommand is not responsible for:
-
Data loss
-
Data corruption
-
Unauthorized access
-
Security breaches
-
Cloud service down-time
-
…including those caused by:
-
Third-party providers
-
User error
-
Malicious actors
7. Third-Party Services
The Service integrates with or relies on third-party providers and integrations if connected by the client.
LawCommand:

Does not control any third-party systems
-
Is not liable for outages, failures, or breaches caused by them
Your use of such services is at your own risk.
8. Confidentiality
We will use commercially reasonable efforts to always protect Customer Data.
However:

You are solely responsible for determining whether the Service meets your confidentiality requirements

LawCommand does not guarantee full compliance with any specific legal or regulatory framework while we have done our reasonable research on these matters
9. No Professional Advice
The Service is a tool only.
LawCommand disclaims all responsibility for:

Legal outcomes
-
Billing decisions
-
Collections strategies
-
Financial decisions
You are solely responsible for all professional judgment.
10. Fees & Payment

Fees are billed as agreed in the contract executed by the client and LawCommand
-
LawCommand will provide a final copy signed by both parties upon request

All payments are non-refundable unless otherwise stated in the contract

We may suspend access and stop service for non-payments of any kind
-
All payments are due upon receipt unless otherwise indicated in the signed agreement between both parties
11. Suspension & Termination
We may suspend or terminate access at any time, with or without notice, including for:

Violations of these Terms
-
Security risks
-
Suspected misuse
-
Legal compliance concerns
We are not liable for any resulting damages.
12. Disclaimer of Warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.”
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING:

MERCHANTABILITY

FITNESS FOR A PARTICULAR PURPOSE

NON-INFRINGEMENT
-
DATA SECURITY OR RELIABILITY
We do not guarantee:

Uptime 24/7 but will include notice of issues or down-time to the best of our ability

100% accuracy as we can not guarantee any third party may have issues that could affect the data accuracy of LawCommand LLC

Error-free performance
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
LawCommand shall not be liable for:

Indirect, incidental, special, consequential, or punitive damages

Loss of profits, revenue, data, or business
TOTAL LIABILITY CAP:
The greater of:

Fees paid in the past 3 months
-
$500
14. Indemnification
You agree to defend, indemnify, and hold harmless LawCommand from any claims arising out of:

Your use of the Service
-
Customer Data
-
Violation of law or professional obligations
-
Claims from your clients or third parties
This includes legal fees and costs.
15. Compliance Responsibility
You acknowledge that LawCommand:

Is not a “data controller” or “data processor” unless separately agreed

Does not assume responsibility for regulatory compliance
You are solely responsible for compliance with:

Privacy laws knowing the infrastructure of LawCommands Services
-
Legal ethics rules
-
Data protection obligations
16. Force Majeure
We are not liable for delays or failures caused by events beyond our control, including:

Cyberattacks
-
Infrastructure failures
-
Natural disasters
17. Governing Law & Disputes
These Terms are governed by the laws of the State of Illinois.
All disputes shall be resolved by:

Binding arbitration

Individual claims only (no class actions)
18. Modifications
We may update these Terms at any time. Continued use constitutes acceptance.
19. Entire Agreement
These Terms constitute the entire agreement and supersede all prior agreements.

DATA PROCESSING AGREEMENT (DPA)
Effective Date: March 6, 2026
Between: LawCommand LLC (“Processor”) and Customer (“Controller”)
1. Scope & Roles
This Data Processing Agreement (“DPA”) applies to Personal Data processed in connection with the Service.

Customer = Data Controller

LawCommand = Data Processor (limited role only)
Critical Protection:
LawCommand processes Personal Data only on documented instructions from Customer and does not determine the purpose or means of processing.
2. Nature & Purpose of Processing
Processing is limited to:

Hosting
-
Storage
-
Retrieval
-
Transmission
-
Basic analytics necessary to operate the Service
LawCommand does not:

Sell personal data
-
Profile individuals
-
Independently use Personal Data outside Service delivery
3. Types of Data We Use
May include (unless otherwise noted by Customer):

Clients standard information
-
Names of clients
-
Contact information of clients
-
Billing and financial data of clients
-
Limited legal matter-related data
Customer is solely responsible for determining before services are started:

What data should not be uploaded
-
Whether it includes sensitive or regulated data
4. Customer Obligations
Customer represents and warrants that:

It has all necessary rights and legal bases to process Personal Data
-
It complies with all applicable laws (including privacy and legal ethics rules)
-
It has obtained all required consents
Customer is solely responsible for:

Data accuracy
-
Data minimization
-
Responding to data subject requests
5. Subprocessors
Customer authorizes the use of subprocessors, including, bit not fully limited to:

Google Cloud Platform Services and Hosting
-
Any third party integrations or APIs
LawCommand:
-
Does not control these providers
-
Is not liable for their acts, omissions, or security failures
6. Security Measures
LawCommand implements commercially reasonable administrative, technical, and organizational measures.
However:
NO GUARANTEE CLAUSE:

No system is completely secure
-
LawCommand does not guarantee prevention of breaches
Customer acknowledges and accepts all inherent risks of modern-day cloud-based processing.
7. Data Breach Notification
LawCommand will make commercially reasonable efforts to notify Customer of confirmed breaches affecting Personal Data.
Limitation:

No obligation to investigate every suspected issue
-
No liability for breach impacts
8. International Transfers
Customer authorizes transfer of data to the United States and other jurisdictions where subprocessors may operate.
Customer is responsible for ensuring such transfers are lawful.
9. Data Subject Requests
LawCommand will:

Provide reasonable assistance upon request
BUT:
Customer remains solely responsible for:

Responding to requests
-
Verifying identity
-
Legal compliance
10. Data Retention & Deletion

Data is retained only as necessary to provide the Service
-
Upon termination, data may be deleted in accordance with standard practices
-
Upon termination, all account data will be deleted upon customer request
Protection Clause:
LawCommand is not responsible for:

Data loss following deletion
-
Failure to retrieve data after termination
11. Liability Limitation
This DPA is subject to the liability limitations in the Terms of Service.
LawCommand shall not be liable for:

Regulatory fines
-
Data breaches
-
Customer misuse of data
12. Indemnification
Customer agrees to indemnify and defend LawCommand against any claims arising from:

Customer Data
-
Violations of law
-
Failure to obtain consent
-
Regulatory penalties
13. Audit Rights
To avoid enterprise headaches:

No on-site audits permitted
-
Any audit requests must be:

Reasonable
-
Limited to documentation
-
At Customer’s expense

14. Governing Law
This DPA is governed by the laws of the State of Illinois.
